KPMG Agreement with KIIFCON

KPMG shall provide KIIFCON with relevant information regarding the Consultants qualification and experience and allow KIIFCON to interview the consultants so that KIIFCON is able to determine the Consultants are appropriate for the purpose of engagement. KPMG will continue to pay salary and provide other benefits to the consultants and will account to the appropriate authorities for income tax thereon as required by relevant laws in India. KPMG will render monthly invoices to KIIFCON as mutually agreed on case-to-case basis in respect of the fees and applicable taxes which shall be due upon receipt. Any reasonable OPEs incurred by the Consultants in provision of services will be added in invoice. KIIFCON will ensure release of such payment within 30 days from the receipt of such invoice. In the event of delay in release of payment beyond 30 day, KPMG may reserve the right to charge interest on amount overdue for a period in excess of 30 days at a rate of 15%. In the event of unforeseen circumstances beyond KPMG’s control, such as ill health, accident or exceptional leave of the Consultants, KPMG will discuss and arrange alternative arrangements with KIIFCON.
